Terms of Service

These Terms of Service ("Terms") govern your access to and use of OurMarket.place ("the Platform"), operated by OurMarket.place LLC ("we," "us," or "our"). By creating an account or using the Platform, you agree to be bound by these Terms.
1. Account Registration
To use the Platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to create an account.
When you create a business tenant on the Platform, you represent that you have the authority to act on behalf of that business.
2. Subscription Plans and Billing
We offer multiple subscription tiers, including a free Starter plan. Paid plans are billed monthly per location. All plans are month-to-month with no long-term commitment required.
- You may upgrade or downgrade your plan at any time.
- Upgrades take effect immediately. Downgrades take effect at the end of your current billing cycle.
- You may cancel your subscription at any time. Access continues through the end of the paid period.
- No refunds are issued for partial billing periods.
- We reserve the right to modify pricing with 30 days advance notice.
3. Payment Processing
Payment processing services for transactions made through the Platform are provided by third-party payment processors. By using the Platform's payment features, you agree to be bound by the applicable payment processor's terms of service. We are not responsible for errors, delays, or issues caused by payment processors.
4. Your Data and Content
You retain ownership of all data and content you upload or enter into the Platform ("Your Data"). By using the Platform, you grant us a limited license to store, process, and display Your Data solely to provide the services.
- You are responsible for the accuracy and legality of Your Data.
- You may export Your Data at any time in standard formats.
- Upon account deletion, Your Data will be removed within 30 days, except where retention is required by law.
5. Multi-Tenant Architecture
The Platform operates on a shared infrastructure with logical data separation. Your Data is isolated from other tenants through row-level security policies. While we implement industry-standard security measures, you acknowledge the shared nature of the infrastructure.
6. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or to violate any applicable regulations
- Attempt to access data belonging to other tenants
- Reverse engineer, decompile, or disassemble any part of the Platform
- Introduce malicious code, viruses, or other harmful material
- Interfere with or disrupt the Platform or servers
- Resell or redistribute the Platform without our written consent
- Use automated tools to scrape or extract data from the Platform
7. Cannabis and Regulated Industries
If you use the Platform for cannabis or other regulated businesses, you represent and warrant that:
- You hold all required licenses and permits for your jurisdiction
- You will comply with all applicable federal, state, and local regulations
- You are responsible for the accuracy of compliance data submitted through the Platform
- You understand that the Platform facilitates but does not guarantee regulatory compliance
We provide tools for regulatory reporting (e.g., METRC integration) as a convenience. You remain solely responsible for meeting all compliance obligations.
8. Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.
9. Intellectual Property
The Platform, including its design, features, and underlying technology, is our intellectual property. These Terms do not grant you any rights to our trademarks, logos, or branding. You may not copy, modify, or create derivative works based on the Platform.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OURMARKET.PLACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless OurMarket.place, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation.
12. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your access if you violate these Terms, fail to pay amounts owed, or engage in activity that poses a security risk. Upon termination, you may request export of Your Data within 30 days.
13. Dispute Resolution
Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the state where our principal office is located. You waive any right to participate in class action lawsuits or class-wide arbitration.
14. Changes to These Terms
We may modify these Terms at any time. We will provide notice of material changes through the Platform or via email at least 30 days before they take effect. Your continued use after changes take effect constitutes acceptance. If you disagree with changes, you may close your account before the effective date.
15. General Provisions
- These Terms constitute the entire agreement between you and OurMarket.place.
- Our failure to enforce any provision does not waive our right to do so later.
- If any provision is found unenforceable, the remaining provisions remain in effect.
- You may not assign or transfer these Terms without our consent.
- These Terms are governed by the laws of the United States.
